Terms of Service

Effective Date: September 2, 2026

1. Definitions

Company (also “Parlot,” “we,” “us,” or “our”) refers to Nineth LLC, 2719 Hollywood Blvd, Hollywood, FL 33020, United States.

Service means the Parlot observability platform, websites (including parlot.ai), dashboard (app.parlot.ai), APIs, documentation, and related software and services we provide, including early access / waitlist access.

Customer Content means data you or your agents submit to the Service, including observability telemetry, transcripts, and recordings.

2. Acceptance of Terms

By accessing or using the Service, joining the waitlist, or creating an account, you agree to these Terms of Service and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Service.

3. Description of Service

Parlot provides observability for production voice AI and related agent stacks (including LiveKit and LangGraph instrumentation). Features may include session timelines, multi-agent graphs, latency waterfalls, goal evaluation, optional recordings, optional session share links, and a managed cloud dashboard.

Early access. Parlot is currently offered in early access via a waitlist. Features, limits, and availability may change. Self-serve Free signup and production billing may not be enabled for all users yet.

4. Accounts and Acceptable Use

You agree to:

  • Provide accurate account information and keep credentials secure
  • Use the Service only for lawful purposes
  • Not attempt to access other customers’ data or disrupt the Service
  • Not abuse ingest endpoints, scrape the Service, or circumvent plan limits
  • Not reverse engineer the Service except where permitted by law
  • Ensure you have rights to submit Customer Content to the Service

We may suspend or terminate access for violations of these Terms or for abuse, fraud, or security risk.

5. Subscriptions and Billing

Planned commercial plans meter conversational turns (one speaker utterance: user, agent, or human rep) and related feature gates such as retention and recordings. Internal seats are not metered on paid plans. Published pricing on parlot.ai describes the intended catalog (Free, Starter, Growth, Scale, Enterprise). During early access, access may be invite-only and fees may not yet apply.

When billing is enabled, fees, overages, taxes, and payment terms will be presented at purchase or in an order form. Enterprise pricing may be custom. Unless otherwise agreed in writing, unpaid amounts may result in suspension.

6. Customer Content

You retain ownership of Customer Content. You grant Parlot a limited license to host, process, transmit, and display Customer Content solely to provide and secure the Service, including running goal evaluation when enabled.

You are responsible for configuring instrumentation, redaction, and retention appropriately for your compliance needs, and for deciding what Customer Content to share via session share links (including who receives a link). On Parlot Cloud, session-close scrubbing may send transcript and span text to Google Sensitive Data Protection for inspection; we store redacted output, not the raw matched values. Enabling fail-closed PII redaction for an agent additionally withholds turns and recording segments that cannot be redacted. Parlot displays shared Customer Content to link recipients as part of providing the Service; you can revoke or expire links in the product. Parlot is a service provider / processor with respect to Customer Content you submit.

7. Open-Source Software & Self-Hosting

Open-source SDKs and client packages (for example instrumentation libraries on GitHub) are licensed under the MIT License. Platform self-host software is source-available under the Business Source License 1.1 (BSL 1.1) with an Additional Use Grant permitting production use up to 4,000 turns per month for your own agents and agents you operate for customers, while prohibiting offering a competing hosted service. Production above that cap requires a commercial license. Each version converts to Apache 2.0 four years after its first public release. Enterprise Edition governance capabilities (such as self-hosted multi-organization management) require a separate commercial agreement. Those licenses govern the respective software code; these Terms govern the hosted Service.

8. Third-Party Services

The Service integrates with or relies on third parties such as Clerk (auth), Cloudflare, Google Cloud (including Google Sensitive Data Protection for PII redaction on Parlot Cloud), Supabase, Tinybird, and LLM providers for evaluation. Your own LiveKit, Telnyx, or other agent infrastructure remains under your agreements with those providers. We are not responsible for third-party services we do not control.

9. Disclaimers

No performance guarantee. Parlot helps you observe and evaluate agents. It does not guarantee that your agents will resolve calls, meet SLAs, or produce correct outcomes. Goal scores and evals are probabilistic and may be sampled.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NINETH LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, SHAREHOLDERS, DIRECTORS, AND MEMBERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNTS YOU PAID TO PARLOT FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR ONE HUNDRED U.S. DOLLARS IF YOU HAVE NOT PAID FEES).

11. Dispute Resolution

Governing law. These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Arbitration. Any dispute arising from these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association, on an individual basis. You waive participation in class actions to the extent permitted by law.

12. Termination

You may stop using the Service at any time. You may request account deletion by contacting legal@parlot.ai. We may suspend or terminate access for material breach, risk, or discontinuation of the Service. Provisions that by their nature should survive (including ownership, disclaimers, limitations of liability, and dispute resolution) will survive termination.

13. Changes to These Terms

We may update these Terms from time to time. We will update the Effective Date and, for material changes, provide additional notice where appropriate. Continued use after changes become effective constitutes acceptance.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.
